Angad Arts Hotel (AAH) is a wholly new hospitality experience that embraces the visual arts, performance, fashion, literature and gastronomy. Ideally located in the heart of St. Louis's Grand Center Arts District, AAH offers superb, gracious hospitality combined with curation of socially inspiring experiences. It is the first hotel in the world where guests are able to book their accommodations not only by room type, but also by emotion of color.

These terms are applicable to any person who contributes art, words, images, herein referred to as “Artwork,” (“you”) to The Angad Arts Hotel and/or The Angad Arts Project (“We” or “Us”). By submitting Artwork to The Angad Arts Project, you agree to be bound by this Agreement. Any capitalized terms used herein without definition shall have the meaning given to them in the Terms of Use. The Artist Terms and Terms of Use create a contract (the “Agreement”) between you and The Angad Arts Project when you upload Artwork to this site.
You understand that by uploading Artwork or otherwise providing content, materials or information to Us, We hereby are and shall be granted a non-exclusive, worldwide, royalty free, perpetual, irrevocable, sublicenseable and transferable right (the “Artwork License”) to fully exploit that Artwork or content (including all related intellectual property rights) in connection with our (and our successors’ and assigns’) business (e.g., to display, reproduce, exhibit, broadcast, transmit, distribute through any electronic means or other means, and electronically or otherwise publish by any and all means and media, including the right to use any part of the Artwork in the promotion, advertising or marketing of Our websites), in any media formats and through any media channels. We also may reformat, modify, create derivative works of, excerpt, and translate any Artwork submitted by you (e.g., change the color to use standard inks, rescale to fit in printable boundaries, etc.). For clarity, this license grant to Us does not affect your ownership of or right to grant additional non-exclusive licenses to the Artwork, except as provided in the following paragraph. You understand and agree that you will not be paid for or compensated in any way for the Artwork.
By uploading your Artwork to the site, you represent and warrant that you own all right, title and interest in and to such Artwork, including, without limitation, all copyright and rights of publicity, if any, contained therein. You MAY NOT submit a design that contains ideas or material that are not yours, and/or that you do not have the legal right to use, including copyrighted images and other people's designs. You agree to fully liability should you submit a design that is not yours, including financial responsibility for any costs incurred defending Us from third party infringement claims (including attorneys’ fees) and the actual costs of installing, printing, or otherwise exploiting the Artwork. as a result of your actions. You retain all rights and title to the Artwork not expressly granted to Us hereunder.
In connection with your submission and uploading of Artwork, you make the following representations and warranties:
a. You have the full right and power to enter into and perform this Agreement and to grant Angad Arts Hotel all rights to use the Artwork as contemplated in this Agreement.
b. You have obtained all necessary third-party consents, rights, licenses and permissions, if any, required to enter into and perform this Agreement and to grant Us the rights to use the Artwork set out in this Agreement (including, without limitation, consents and permissions from owners of any elements that are used in the Artwork).
c. The Artwork (and our use of it under this Agreement) does not and will not infringe on any rights of any third party, including any trademark, copyright, patent, trade secret, right of privacy or publicity or moral rights of any third party.
d. The Artwork does not and will not violate any law, statute, ordinance or regulation.
e. That you are at least 18 years old. If you represent a minor under the age of 18, you hereby warrant that you have the legal right to enter into this Agreement on behalf of the minor artist and guarantee such person's performance of the terms of this Agreement. These warranties shall survive any termination of this Agreement.
You acknowledge and agree that the operation of the Angad Arts Project website(s) may from time to time encounter technical or other problems and may not necessarily continue uninterrupted or without technical or other errors and We will not be responsible to you or others for any interruptions, errors or problems or even for an outright discontinuance of the Angad Arts Hotel website or Art Program. There are no assurances whatsoever that the Artwork will actually be used in whole or in part on the Angad Arts Hotel website or if used will continue to be available for any defined time. We have the right, in our sole and absolute discretion, to remove from the Angad Arts Project website at any time the Artwork. The Angad Arts Project website may be discontinued at any time, with or without reason and all the Artwork sent to Us may be removed and unavailable for recovery by any means. You and only you are responsible for maintaining at your expense and in facilities owned or controlled only by you any and all original or so-called back-up copies of all or any part of the Artwork.
WE DISCLAIM ALL RESPONSIBILITY AND LIABILITY FOR ANY THIRD-PARTY USE OF THE ARTWORK ON OUR WEBSITE. YOU SHALL BE SOLELY RESPONSIBLE FOR SEEKING RELIEF FOR ANY UNAUTHORIZED USE OF YOUR ARTWORK BY A THIRD-PARTY FROM THAT THIRD PARTY, AND NOT FROM US. YOU WILL NOT HOLD US RESPONSIBLE OR LIABLE FOR SUCH UNAUTHORIZED USE.
You agree to defend, indemnify, reimburse and hold Us and our parent, subsidiary and affiliated entities, and its and their members, managers, officers, directors, representatives, employees, agents, successors, designees, licensees, sub-licensees and assigns, harmless from and against any and all liability, loss, damages, judgments, costs and expenses (including reasonable attorney's fees, costs and expenses and court costs) arising out of or related to:
a. Your use of the Angad Arts Hotel website;
b. any breach or alleged breach of your representations and warranties and/or any breach, alleged breach or violation of the notices, terms and conditions of this Agreement;
c. Your violation or alleged or threatened violation of any rights of a third party, including, without limitation, any trademark, copyright, patent, trade secret, right of privacy or publicity or moral rights of any third party, arising from the submission and/or use of the Artwork to Us as provided in this Agreement.
Angad Arts Hotel, the Angad Arts Hotel logos and mascots, and the layout and design of the Angad Arts Hotel website, among other marks that may appear on the Angad Arts Hotel website are trademarks of Angad Arts Hotel. (the "Angad Arts Hotel Marks"). Other trademarks and service marks on the Angad Arts Hotel website may be the property of the advertisers, content partners and/or providers, or other third parties. Artist may not use any of the Angad Arts Hotel Marks without Angad Arts Hotel's prior written permission, and Artist may not use any third-party marks without the third party's prior written permission.
This Agreement sets forth the entire understanding and agreement between you and Us as to the subject matter hereof and supersedes all prior proposals, discussions or agreements (oral and written) with respect to such subject matter.
We reserve the right to amend the terms of this Agreement from time to time in our sole discretion. We will notify you of any material changes to this Agreement by sending an email to the address provided with an artwork submission (if supplied). If you continue to upload Artwork after being notified of these changes to the Agreement, you will be deemed to have accepted those changes and the new terms of the Agreement will govern all prior and future submissions of Artwork. If you do not accept the new terms of the Agreement, your only and exclusive remedy will be to terminate our agreement, subject to the limitations above with respect to rescinding any license.
BEFORE CLICKING "I AGREE", CAREFULLY READ THE TERMS AND CONDITIONS OF THIS AGREEMENT. BY CLICKING "I AGREE", YOU ARE CONSENTING TO BE BOUND BY AND ARE BECOMING A PARTY TO THIS AGREEMENT WITH RESPECT TO THE WORK YOU ARE CURRENTLY SUBMITTING AS WELL AS WITH RESPECT TO WORK YOU HAVE SUBMITTED IN THE PAST AND MAY SUBMIT IN THE FUTURE.
